Terms of Service

1. Acceptance of Terms

By accessing or using Selloquence ("the Service"), operated at selloquence.com by Leonenko Group, LLC, a Delaware limited liability company, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Selloquence is an AI-powered listing optimization tool that generates SEO-optimized product listings for e-commerce platforms such as Etsy and Amazon. The Service uses artificial intelligence models to create titles, descriptions, tags, and keywords based on product information you provide.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate information and keep it up to date. We reserve the right to suspend or terminate accounts that violate these terms.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Generate listings for prohibited, counterfeit, or illegal products
• Submit or generate content that is sexually explicit, pornographic, or obscene
• Submit or generate content promoting hate speech, violence, terrorism, or extremism
• Submit or generate content related to illegal drugs, controlled substances, or drug paraphernalia
• Submit or generate content related to illegal weapons, explosives, or their manufacture
• Submit or generate content involving child exploitation or human trafficking
• Submit or generate content promoting fraud, identity theft, or counterfeit goods
• Attempt to bypass, manipulate, or override the Service's content filters, safety mechanisms, or AI instructions (including prompt injection)
• Attempt to reverse-engineer, decompile, or extract the AI models or algorithms
• Abuse the Service by automating requests beyond normal use patterns
• Share your account credentials with others
• Interfere with or disrupt the Service or its infrastructure

5. Content Moderation & Prohibited Content

Automated Content Filtering

The Service employs automated content moderation systems that scan user input before processing and review AI-generated output after generation. Content that violates our acceptable use policy will be automatically blocked, and no listing will be created. Blocked requests do not consume your listing credits.

Prohibited Content Categories

The following categories of content are strictly prohibited and will result in automatic enforcement action:

• Sexually explicit material — pornography, adult entertainment, escort services, sex toys, or obscene content
• Illegal drugs & paraphernalia — controlled substances, drug manufacturing equipment, or paraphernalia
• Weapons & explosives — illegal weapons, ghost guns, explosive materials, or instructions for their manufacture
• Hate speech & extremism — content promoting hatred, white supremacy, neo-Nazism, or violence against any group
• Fraud & counterfeiting — counterfeit goods, fake identification documents, stolen property, or financial fraud tools
• Child exploitation — any content involving the exploitation of minors (results in immediate permanent ban)
• Human trafficking — any content promoting or facilitating trafficking of persons

Account Trust Score

Each account maintains a trust score (0–100) that reflects compliance with our policies. All accounts begin with a score of 100. Violations of our acceptable use policy will reduce your trust score, with the severity of the reduction based on the nature of the violation. Your trust score affects your account standing as follows:

• Score above 50: Account in good standing.
• Score drops to 50 or below: You will receive a warning email and your account will be flagged for review.
• Score drops below 25: Your account will be automatically suspended. Paid subscribers will receive one additional warning and a grace period before subscription cancellation (see Section 6).
• Score reaches 0: Your account will be permanently banned and any active subscriptions will be canceled.
• Child exploitation violations: Result in an immediate permanent ban regardless of trust score.

Appeals

If you believe your account was suspended or banned in error, you may contact us at support@selloquence.com to request a review. We reserve the right to make final determinations on all content moderation decisions.

6. Intellectual Property

Your Content

You retain ownership of the product information you provide and the listings generated for you through the Service. You are free to use, modify, and publish generated listings on any platform.

Our Platform

The Service, including its design, code, AI prompts, branding, and documentation, remains the intellectual property of Selloquence. You may not copy, modify, or distribute any part of the platform without written permission.

7. Payment and Billing

• Paid plans are billed monthly or annually through Stripe. By subscribing, you authorize recurring charges.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Listing credits reset each billing cycle and do not roll over.
• Refunds may be issued at our discretion within 7 days of a charge if the Service was materially unavailable or defective during that period. Contact us at support@selloquence.com for refund requests.
• We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified before any price change takes effect.

Paid Subscriber Protections

If you are an active paid subscriber and your account trust score drops below the automatic suspension threshold due to content policy violations, you will receive one additional warning and a grace period before any enforcement action is taken. This grace period allows you to review and correct your usage. If violations continue after the grace period, your account will be suspended, your active subscription will be canceled, and your plan will be downgraded. This protection does not apply to severe violations (child exploitation, human trafficking) which result in immediate permanent termination regardless of subscription status.

8. Founding Member Pricing

Selloquence may offer "Founding Member" pricing to early subscribers. Founding Member pricing is a promotional rate offered to subscribers who sign up during the early-access period of the Service. If you subscribe at a Founding Member rate, that rate will remain locked in for the duration of your continuous, active subscription, regardless of future price changes to the same plan.

• Rate guarantee: Your Founding Member rate will not increase as long as your subscription remains active and in good standing (no lapses, no cancellations).
• Cancellation: If you cancel your subscription and later resubscribe, the Founding Member rate is forfeited. You will be charged at the then-current standard rate.
• Exceptions: Selloquence reserves the right to discontinue the Founding Member pricing guarantee only in the event that (a) the Service is permanently shut down, (b) Leonenko Group, LLC is dissolved or ceases operations, or (c) a change in law or regulation makes the current pricing structure commercially impracticable. In any such event, affected subscribers will receive at least 30 days' written notice.
• Plan changes: Founding Member pricing applies to the specific plan you subscribed to. If you upgrade or downgrade to a different plan, the new plan will be charged at the then-current rate for that plan (which may also be a Founding Member rate if the promotion is still active).

9. AI-Generated Content Disclaimer

Listings generated by the Service are created by artificial intelligence and may contain inaccuracies. You are responsible for reviewing, editing, and verifying all generated content before publishing. Selloquence does not guarantee that generated listings will comply with any specific marketplace's policies or result in any particular sales performance.

10. Limitation of Liability

To the maximum extent permitted by law, Selloquence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms, with or without notice. Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated terms on this page. Your continued use of the Service after changes constitutes acceptance of the revised terms.
